Overview
Welcome to Madorne. This website and online store are operated by BAM PROD LLC, a limited liability company with a business address at 1704 Llano St, Santa Fe, NM 87505, United States. Throughout these Terms, “Madorne”, “we”, “us” and “our” refer to BAM PROD LLC operating the Madorne brand.
These Terms of Service (“Terms”) govern your use of madorne.com and its related content, tools and services (the “Services”), and purchases made through our store. Our Shipping Policy and Returns & Exchanges Policy form part of the terms applicable to purchases. Our Privacy Policy explains how personal information is processed.
Please read these Terms before using the Services or placing an order. By using the Services or placing an order, you agree to these Terms to the extent permitted by applicable law. Where express acceptance is legally required, we will request it separately.
Nothing in these Terms, including any disclaimer, return condition, release or limitation of liability, excludes or restricts rights or remedies that cannot lawfully be excluded or restricted. Mandatory consumer protection laws prevail over conflicting provisions.
Section 1 - Access and Account
You must be of legal age to enter into a binding purchase contract in your jurisdiction, or have the involvement and authorization of a parent or legal guardian where permitted by law.
You agree to provide accurate and current contact, billing, payment and delivery information. You must be authorized to use any payment method submitted to us.
If you create an account, you are responsible for taking reasonable steps to protect your login details. Please notify us promptly if you suspect unauthorized access. You may not impersonate another person or transfer your account without our written consent.
Section 2 - Our Products
We take reasonable care to describe our products accurately, including their materials, dimensions, finishes and available options. Please review the product information and your selected options carefully before ordering.
Screen settings, photography and lighting conditions may affect how colors and finishes appear. Natural materials, including wood, stone, marble, leather and similar materials, may display variations in grain, veining, texture, tone and shade.
Such natural variations do not, by themselves, constitute a defect where they are consistent with the product description and reasonable expectations for the material. This does not excuse material differences from the agreed specification, shipping damage, manufacturing defects or other lack of conformity.
Where a product is made to order or available for preorder, applicable production and estimated delivery information will be disclosed before purchase. Any particular customization must be agreed in writing or selected through the product options available at the time of purchase.
We may update listings, discontinue products or change availability for future purchases. Changes do not allow us to materially alter the specifications of an accepted order without your agreement. Your statutory rights regarding product quality, fitness for purpose and conformity remain unaffected.
Section 3 - Orders
Placing an order constitutes an offer to purchase the selected products at the price and on the terms presented at checkout. An automated acknowledgement confirms receipt of your order. Acceptance occurs when we expressly confirm acceptance or dispatch the products, whichever occurs first.
Before acceptance, we may decline an order for a legitimate reason, including product unavailability, inability to deliver to the stated address, payment authorization failure, pricing or listing errors, or reasonably suspected fraud.
If we decline an order after collecting payment, the applicable amount will be promptly refunded.
Please check your product selections, dimensions, finishes, quantities and delivery information carefully. To request a change or cancellation, contact support@madorne.com as soon as possible.
Our ability to accommodate voluntary changes or cancellations may depend on production and dispatch status. This does not limit any statutory cancellation, withdrawal or other mandatory consumer right.
Section 4 - Voluntary 90-Day Return Policy
In addition to any mandatory rights available under applicable law, Madorne offers an extended voluntary return period of 90 days from delivery for eligible standard products, subject to the conditions described in our Returns & Exchanges Policy.
There are no restocking fees on approved eligible returns.
For a voluntary return under Madorne's extended 90-day policy, eligible products must generally remain unused, unassembled, uninstalled, unmodified and in the condition required by our Returns & Exchanges Policy, with their original packaging, hardware, accessories and components.
These requirements apply to Madorne's voluntary extended return policy and do not remove or restrict statutory rights that apply independently.
Where EU consumer withdrawal rules apply, you generally have 14 days from receipt of the goods to notify us that you wish to withdraw from the purchase, subject to lawful exceptions. This statutory right is separate from Madorne's voluntary 90-day return policy.
Where applicable law permits a consumer to inspect or handle a product during a statutory withdrawal period, handling beyond what is reasonably necessary to establish the nature, characteristics and functioning of the product may result in responsibility for diminished value to the extent permitted by law.
A product being described as “made to order” does not, by itself, necessarily remove a statutory withdrawal right. An exception applicable to products made according to a customer's specifications or clearly personalized applies only where legally available and where the relevant customization qualifies for that exception.
Section 5 - Prices and Billing
The price and transaction currency applicable to your order are those presented at checkout. Prices and promotions may change for future purchases; such changes do not alter the price of an accepted order.
Taxes and delivery charges collected by us, and any additional charges payable to us, will be disclosed before you place your order. Where applicable law requires tax-inclusive pricing, prices will be displayed accordingly.
Where import duties, customs charges, local taxes or similar charges may be payable separately by the customer, the applicable information will be disclosed before purchase to the extent required by law. Any express commitment by Madorne to include duties, taxes or delivery costs remains binding.
Your bank, card issuer or payment provider may apply its own currency conversion rate or fees. These charges are separate from amounts charged by Madorne.
You agree to pay the total amount accepted at checkout using an authorized payment method. Financing or installment services, where available, may be subject to the provider's separate terms. Promotion-specific terms disclosed before purchase apply to that promotion, subject to mandatory law.
Section 6 - Shipping and Delivery
Available delivery services, charges and estimated production, dispatch and delivery periods are described on the relevant product page, at checkout or in our Shipping Policy.
Please distinguish production time from transit time when reviewing your order.
Delivery estimates may be affected by production schedules, freight availability, customs clearance, weather, carrier delays or other circumstances. Where required by applicable law, we will provide notice of material delays, revised timing, cancellation options or refunds.
Calling a date an estimate does not remove mandatory delivery obligations that apply to your purchase.
You are responsible for providing a complete and accurate delivery address and informing us of access restrictions relevant to the delivery service selected.
Please check product dimensions against doorways, hallways, staircases, elevators, access paths and the intended installation location before ordering.
The scope of delivery, including any assembly, unpacking, room-of-choice or placement service, is limited to the service expressly agreed for your order. Any additional service or charge requires disclosure and your agreement before it is incurred.
Risk of loss or damage remains with Madorne until you, or a person designated by you other than the carrier, physically receive the products, except where applicable law provides otherwise.
If you independently appoint a carrier that was not offered by us, a different transfer of risk may apply only to the extent permitted by applicable law.
Section 7 - International Returns
For voluntary returns under Madorne's 90-day return policy, return transportation is arranged and paid for by the customer, unless otherwise stated by Madorne or required by applicable law.
Our designated international return facility is located in France, Europe and is used for eligible returns from customers worldwide. Depending on your location and the instructions provided for your return, your product may therefore need to be transported internationally to France.
Furniture can be large, heavy or require specialized freight transportation. Return transportation costs may vary substantially depending on the product, packaged dimensions, weight, collection address, carrier, transportation method, fuel surcharges and market conditions.
For information about voluntary return transportation, including current estimated return shipping costs by region and product size, please review our Returns & Exchanges Policy before placing your order.
Return cost estimates are indicative only and may vary over time. They are not guaranteed carrier quotations. Nothing in these Terms limits mandatory consumer rights concerning return costs or pre-contractual information.
Please contact support@madorne.com before arranging or shipping any return. Our team will confirm eligibility and provide the applicable return instructions and return address.
Do not return products to BAM PROD LLC's legal address, a manufacturer, supplier, freight terminal, warehouse or other address unless our customer service team has specifically instructed you to do so.
Original outbound shipping and delivery charges are non-refundable for voluntary returns except where otherwise stated or required by applicable law.
Section 8 - Damaged, Defective or Incorrect Products
Please inspect packaging and products as soon as reasonably possible after delivery, particularly fragile pieces involving glass, marble, stone, ceramics or delicate finishes.
If packaging is visibly damaged, please ask the carrier to record the specific damage on the delivery receipt before signing whenever reasonably possible. We also recommend taking photographs of the packaging, labels, internal protective materials and product.
Please retain packaging reasonably necessary to document and resolve the issue.
If your item arrives damaged, defective, incorrect or otherwise materially different from the applicable order, contact support@madorne.com within 48 hours of delivery where reasonably possible.
Please provide your order number, a description of the issue, clear photographs or video of the product and packaging, and a copy or photograph of the delivery receipt where available.
Prompt notification helps us investigate the issue and pursue any carrier claim. Failure to report an issue within 48 hours or record visible damage with the carrier does not automatically remove statutory rights that cannot lawfully be excluded.
Depending on the nature and extent of the issue and the rights available under applicable law, available resolutions may include:
- Replacement parts or components;
- Repair or a reasonable repair contribution;
- Replacement of the affected product;
- A price reduction or partial refund;
- Return and refund; or
- Another appropriate resolution agreed with you.
Where an issue is minor or cosmetic and the product remains safe and fully functional, we may offer an alternative resolution that avoids an unnecessary international return.
Depending on the circumstances, this may include replacement components, a repair contribution, or a partial refund if you prefer to keep the item.
Any such proposal is assessed individually. You are not required to accept an alternative resolution where applicable law entitles you to another mandatory remedy.
Where Madorne is legally responsible for return transportation of a damaged, defective, incorrect or nonconforming product, Madorne will arrange or cover the necessary transportation as required by applicable law.
Please do not independently ship a damaged, defective or incorrect product back to us unless instructed to do so.
Section 9 - Refunds and Exchanges
Approved voluntary returns are subject to our Returns & Exchanges Policy. Madorne does not charge a restocking fee on approved eligible returns.
Once a returned product is received and inspected, approved refunds are generally issued to the original payment method within 5-10 business days. Your financial institution may require additional time to make the funds available.
If a product returned under Madorne's voluntary return policy does not arrive in the required condition, including where it has been used, assembled, installed, materially damaged, altered or returned with missing components, we may refuse the voluntary return or, where appropriate and legally permitted, offer a refund reflecting diminished value.
This does not restrict statutory remedies or withdrawal rights that apply independently under applicable law.
Exchanges are subject to product availability and the eligibility conditions stated in our Returns & Exchanges Policy. Where an exchanged item differs in price, the applicable difference will be charged or refunded.
In some circumstances, an exchange may be processed as a return of the original item followed by a new order.
Section 10 - Intellectual Property
Website content, including text, photographs, graphics, logos and other materials, may be protected by copyright, trademark, design and other intellectual property laws. Rights belong to their respective owners. We claim rights only in content and materials that we own or are authorized to use.
You may browse the website and use its content as reasonably necessary to evaluate products, make purchases and retain records of your transactions. Other reproduction, modification, distribution or commercial use of protected content requires permission from the relevant rights holder unless permitted by law.
References to third-party names, trademarks or designs do not transfer ownership of those rights or grant you a license to use them. Nothing in these Terms should be interpreted as a representation that Madorne owns third-party intellectual property.
If you believe content on our website infringes your rights, contact support@madorne.com with your contact details, relevant URLs, identification of the rights concerned and supporting information.
Section 11 - Optional Tools
The Services may provide access to tools or services operated by third parties. Their availability and use may be governed by the provider's own terms and privacy information, which you should review before use.
We do not control third-party tools and cannot guarantee their continued availability or operation. Any disclaimer regarding them applies only to the extent permitted by law and does not exclude responsibility for our own obligations or conduct.
Section 12 - Third-Party Links
Our website may link to external websites or contain third-party materials. Unless expressly stated, a link does not constitute an endorsement. Third-party websites and transactions are governed by their own terms and policies.
We are not responsible for content or services independently provided by third parties, except where applicable law makes us responsible. This does not affect your rights against Madorne in relation to purchases made with us.
Section 13 - Relationship with Shopify
Madorne is powered by Shopify, which provides technology enabling us to operate the Services. However, purchases made through our Store are transactions directly between you and Madorne.
To the extent permitted by applicable law, Shopify is not responsible for fulfilling sales made by Madorne, product conformity, delivery, returns, refunds or other obligations of Madorne as seller.
Nothing in this section limits rights or claims that cannot lawfully be waived or released.
Section 14 - Privacy Policy
Our Privacy Policy explains how personal information is collected, used, shared and protected when you interact with Madorne. Please review it before submitting personal information.
Shopify hosts our store and processes information in connection with the Services. Certain processing is also described in Shopify's applicable privacy information.
Information may be processed by service providers in other countries, as described in the applicable privacy policies. These Terms do not replace any consent or other legal basis required for processing personal information or sending marketing communications.
Section 15 - Feedback and Reviews
If you submit a review, photograph, video or other content for publication on our Services (“Feedback”), you retain ownership of your content and grant Madorne a non-exclusive, worldwide, royalty-free license to display, reproduce and format it as reasonably necessary to publish it on our Services and promote the relevant products.
This license is subject to applicable privacy, publicity and intellectual property rights. Private customer support correspondence is not treated as content submitted for public promotion unless separately agreed.
You must have the rights needed to submit Feedback. Reviews must reflect your genuine experience, and you must disclose any material incentive or relationship where legally required.
You must not impersonate others, publish deliberately misleading reviews, infringe third-party rights, or include unlawful content or malicious code.
We may moderate content for legitimate reasons such as spam, unlawful material, personal information or irrelevant content. We will not suppress a review merely because it expresses a negative opinion or edit it in a way that misrepresents the reviewer's experience.
Section 16 - Errors, Inaccuracies and Omissions
We may correct typographical errors, inaccuracies and omissions in the Services. If an error materially affects your order, we will contact you and explain the available options.
We will not charge a higher price or substitute a materially different product without your agreement. Any cancellation of an accepted order due to an error must be permitted by applicable law. If an order is cancelled, amounts paid for the cancelled products will be promptly refunded.
Section 17 - Prohibited Uses
You may use the Services only for lawful purposes. You must not commit fraud, impersonate another person, infringe intellectual property or privacy rights, threaten or harass others, submit malicious code, send unlawful spam, collect personal information unlawfully, or interfere with the security or operation of the Services.
You must not bypass access controls or use automated tools in a way that disrupts the website, extracts protected content unlawfully, or disregards applicable access restrictions.
These Terms do not prohibit ordinary search-engine indexing or lawful browsing and shopping assistance that complies with our technical access rules and Section 18.
We may take proportionate steps to restrict misuse, subject to applicable law and protection of existing purchase, refund and consumer rights.
Section 18 - Agents
18.1 This section (“Agent Terms”) applies if you use, allow, enable or cause the deployment of an Agent to access, use or interact with any Services. “Agent” means software or a service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, a person or entity without continuous direct human supervision.
18.2 No Agent may access, use or interact with the Services unless it identifies itself and operates in accordance with the requirements below. An Agent must also cease access where we have lawfully requested that it do so.
18.3 We may use reasonable technical measures to limit whether and how Agents access, use or interact with the Services.
18.4 Agents must:
- Identify automated access accurately where technically appropriate;
- Not conceal or misrepresent automated activity as human activity;
- Not circumvent CAPTCHAs, access controls, rate limits or other technical restrictions;
- Respond truthfully where a system expressly asks whether an interaction is automated; and
- Comply with applicable law and lawful technical access restrictions.
Section 19 - Termination
We may suspend or terminate access to the Services where reasonably necessary to address a material breach of these Terms, fraud, unlawful conduct or a security risk.
Where practicable and appropriate, we will explain the reason and allow an opportunity to resolve the issue.
Suspension or termination of website access does not automatically cancel an accepted order, extinguish a refund obligation or remove statutory rights. Any amounts lawfully due remain payable.
Provisions intended by their nature to survive termination, including intellectual property provisions, accrued payment obligations, applicable liability provisions and dispute provisions, continue to apply.
Section 20 - Website Availability and Product Warranties
We take reasonable care in providing the Services but cannot promise uninterrupted or error-free website access. To the extent permitted by law, the website and optional online tools are provided on an “as available” basis.
Products remain subject to the descriptions, specifications and express commitments applicable to your order, any stated commercial warranty, and all applicable statutory guarantees and warranties.
These Terms do not impose a blanket “as is” sale of products or exclude mandatory rights concerning quality, fitness for purpose, conformity, title or remedies for defective goods.
Any commercial warranty is additional to statutory rights. Eligibility for mandatory statutory remedies is not limited by the duration or conditions of a voluntary commercial warranty.
Section 21 - Limitation of Liability
To the extent permitted by applicable law, Madorne is not liable for losses that were not reasonably foreseeable when the relevant contract was made, or for business losses arising from products purchased primarily for personal or household use.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.
Nor do these Terms limit rights to delivery, refund, repair, replacement, price reduction or other mandatory remedies.
Any lawful limitation applies only to the extent appropriate to the circumstances and applicable law. No provision requires you to bear losses for which Madorne is legally responsible.
Section 22 - Indemnification
To the extent permitted by applicable law, you are responsible for third-party claims and reasonable, documented losses directly caused by your fraudulent or intentionally unlawful use of the Services, or your knowing infringement of third-party rights through content you submit.
You are not required to indemnify Madorne, Shopify or another party for its own negligence, misconduct or breach of legal obligations.
This section does not impose obligations on consumers that would be prohibited or unfair under applicable law.
If we seek recovery under this section, we will provide prompt notice and reasonable information about the claim. We will not agree to a settlement binding you without your consent.
Section 23 - Severability
If a provision of these Terms is found invalid or unenforceable, it will not apply to the extent of that invalidity or unenforceability. The remaining provisions continue to apply where legally possible.
This section does not authorize rewriting an unfair consumer term where applicable law prohibits doing so.
Section 24 - Waiver; Entire Agreement
Failure to enforce a provision immediately does not waive the right to enforce it later, subject to applicable law.
These Terms, the policies incorporated into them, and the specific information and commitments agreed for your order form the agreement between you and Madorne.
Specific agreed order terms prevail over conflicting general wording. Mandatory law prevails over all conflicting terms.
Nothing in this section excludes information or representations that form part of the contract by law, or prevents reliance on legally binding pre-contractual statements.
Section 25 - Assignment
You may transfer your contractual rights or obligations with our written agreement, except where applicable law permits transfer without it. This does not restrict rights that must be transferable by law.
We may transfer this agreement in connection with a business reorganization, sale or transfer, provided this does not reduce your contractual guarantees or statutory rights.
We will notify you where required by law and remain responsible to the extent required by law.
Section 26 - Governing Law
These Terms and purchases made with Madorne are governed by the laws of the State of New Mexico, United States, together with applicable United States federal law, subject to mandatory consumer protection rules that apply regardless of this choice of law.
If you are a consumer habitually resident in another jurisdiction, this choice does not deprive you of protections that cannot be excluded by agreement under the law applicable to you.
Where applicable law permits you to bring a claim in the courts of your place of residence, that right remains unaffected.
Subject to those mandatory rights and applicable jurisdiction rules, disputes may be brought before the competent state or federal courts in New Mexico.
Please contact support@madorne.com if a problem arises so that we can try to resolve it. Contacting us first is not a condition of exercising your legal remedies.
Section 27 - Headings
The headings used in these Terms are included for convenience only and do not limit or otherwise affect their interpretation.
Section 28 - Changes to Terms of Service
We may update these Terms for future use of the Services and future orders. The current version will be posted on this page with an updated date. Where required, we will notify you of material changes and obtain any necessary acceptance.
An order remains governed by the Terms applicable when it was placed unless a change is required by law or separately agreed with you. Updates do not retrospectively reduce your rights or alter accepted orders.
